Members of the Governing Council 

The Governing Council shall consist of the following members:

General Meeting of the Governing Council

The Governing Council shall meet as and when necessary with the permission of the Chairman, for the management of the affairs of the BPSM Society, provided that the Governing Council shall meet at least once in three months.

Special Meeting of the Governing Council

In addition to the General meetings, a Special meeting may be called at any time with the permission of the Chairman. The Special meeting may be convened within five days from the date of requisition, provided further that the Chairman may, whenever deemed fit, direct the Member-Secretary to call a Special Meeting.

 Notice of Meeting of the Governing Council

For every meeting of the Governing Council, a notice of not less than seven working days specifying the place, date, time and agenda for the meeting shall be given to all members. If a Governing Council meeting is adjourned due to want of emergency, the Chairman may reduce the above period of notice to such number of days as he deems fit in the circumstances of the case.

Quorum for the Meeting of the Governing Council

The quorum for a meeting of the Governing Council shall be not less than 4 members of the Governing Council for a proceeding to be validly conducted. In case the quorum is not met and the meeting is adjourned, the Member-Secretary must reconvene the adjourned meeting. The members present shall constitute the quorum for any adjourned meeting of the Governing Council.

Business of the Governing Council

Every meeting of the Governing Council shall be chased by the Chairman or in his absence by the Vice Chairman and in case of absence of both, by one of the other members elected by the members present from amongst themselves. Each member, including the member priding at the meeting of the Governing Council shall have one vote but the presiding member shall also have a casting vote in addition to his vote as member in case of equality of votes. All the matters shall be decided by a majority of votes.

 Minutes of the meeting of the Governing Council

A copy of the Minutes of the proceedings of each meeting shall be furnished to the Governing Council members as soon as possible after the completion of the meeting. The Chairman or the member of the member of the Governing Council who chairs the meeting, as the case may be, shall approve the proceedings of the meeting. Proceeding of every meeting shall be properly kept by the Member-Secretary and shall be confirmed at its next meeting.

Resolution of the Governing Council

Every resolution of the Governing Council shall be passed by a majority of members present and voting for the resolution to be valid: In case of expediency, the Member Secretary of the BPSM Society may circulate a resolution for approval and such resolution shall be deemed to have been passed if a majority of the members and the Chairman approve it. The resolution so passed by circulation shall be recorded in the proceeding of the next meeting of the Governing Council.

 Term of the Governing Council

The term of the Governing Council shall be the term of the BPSM Society. However. the Governing Council shall continue in office till the next Governing Council comes into existence for the next term by way of reconstitution by the General Body.

 Co-opted members of the Governing Council

The Governing Council shall have the right to co-opt eminent persons/officials in the field of activities related to the objectives of the BPSM Society. The Governing Council may co-opt a maximum of three members. The co-opted members shall have a right to participate in the meetings of the Governing Council but shall not have voting rights and they shall not constitute the quorum. The Chairman/Member-Secretary can also invite experienced officials and eminent persons for specific issues to the meetings of the Governing Council.

Function and Powers of the Governing Council

Subject to the provisions of the Memorandum of Association and the Rules, the Governing Council shall have the control and management of the business and affairs of the BPSM Society and shall have all advisory, executive and financial powers to conduct the affairs of the BPSM Society through its Member Secretary. All the duties, powers, functions and rights, whatever, consequential and incidental to the carrying on of the objectives of the BPSM Society shall only be exercised or performed by the Governing Council.In particular and without prejudice to the generality of the foregoing provision, the Governing Council will have all executive, financial and administrative powers to manage and carry out the affairs of the society, including :

  1. Consider the annual budget and the annual action plan, its subsequent alterations placed before it by the Member Secretary from time to time and pass it with such modifications as the Governing Council may think fit.
  2. Approve the Finance and Accounting Manual, Procurement manual and ensure that work is carried on in accordance with it.
  3. Accept donations and endowment or give grants upon such terms and conditions as it may think fit. Decide fees to be curried by the Society for its services.
  4. Delegate its powers, other than those of making rules, to the Chairman.
  5. Appoint committee. sub-committees, expert panels, task-force, working or study groups and Boards etc. for such purpose and on such terms as it may deem fit and to remove any of them.
  6. Set HR Policy for BPSM Society and associated reform programs including sanctioning of staff positions (on contractual, honorarium or permanent basis), set salary and incentive structure for the sane and approve appointments to the same.
  7. Appoint auditors for auditing the accounts of the BPSM Society with the approval of the General body.
  8. Ensure that the BPSM Society considers any comments made by funding agencies on the progress in the implementation of the projects sponsored and funded by them.
  9. Monitor progress of BPSM to ensure achievement of project objectives.
  10. Monitor the financial position of the BPSM Society in order to ensure smooth income flow and to review annual audited accounts.
  11. Shall have full financial and administrative powers to conduct the affairs of the society and shall have the right to delegate the same fully or partially as it may so deem fit.
  12. Approve the Purchase plans (Equipment, Furniture, Vehicles etc.) for Society work and for carrying out reform programs.
  13. Approve schemes and projects mandated by the Society and its reform programs and grant Administrative sanction for the same.
  14. Approve study tours for Society members and officers of partnering departments to foreign countries.
  15. Approve strategic alliances, partnerships, collaborations which maybe entered into by the Society.
  16. Do generally all such acts and things as may be necessary or incidental to carrying out the objectives of the BPSM Society or any of them. Provided that nothing herein contained shall authorize the Governing Council to do any act or to pass any. bye laws which may be repugnant to the provisions here of, to the powers hereby conferred on the Governing Council and other authorities, or which may be inconsistent with the objectives of the BPSM Society.
  17. Have power to delegate, all or any of, the powers and functions mentioned above, fully or partially, to members/officers within the Society deemed fit by it.

Chairman of the Governing Council

The Chief Secretary, Government of Bihar shall be the Chairman of the Governing Council of the BPSM Society.

 Powers and duties of Chairman of the Governing Council

The Chairman shall have powers to:

  1. Call, or ask the Member Secretary to call, a meeting of the Governing Council at any time and on the receipt of such requisition the Member Secretary shall forthwith call such a meeting.
  2. Act upon powers as may be delegated to Chairman by the BPSM Society and the Governing Council.
  3. Carry out powers and functions of the Governing Council whenever the exigency so demands and place the action taken before the next meeting of the Governing Council for ratification.
  4. Shall have the right to delegate any of the powers vested in his office to the Vice Chairman, Member Secretary or any other Member of the BPSM Society deemed fit by him.

Member Secretary

The Mission Director of the BPSM Project shall be the -

  1. Member-Secretary of the Governing Council and the BPSM Society. He will be appointed by the State Government.
  2. Member-Secretary shall be a senior IAS officer equivalent in rank to Secretary/Principal Secretary to GoB.

Function and Powers of the Member Secretary

1   The Mission Director shall be the Chief Executive Officer of the BPSM Society.
2   The Mission Director shall be responsible for the management of day-to-day affairs of the BPSM Society and the State Unit (SU). He shall have overall responsibility for planning and executing the work of the BPSM Society. He shall be responsible for the implementation of all the policies laid down by the General Body/Governing Council and shall attend to statutory requirements imposed on the functioning of the BPSM Society.
3   The Management and control of the day-to-day administration and control of finance within sanctioned budgets of the BPSM Society shall be vested with the Mission Director and through him with the respective functional heads. He/She shall function as the controlling authority of all employees of the BPSM Society.
4   The Mission Director shall sign or cause to be signed all documents and proceedings requiring authentication by the BPSM Society. The Mission Director shall also represent or cause to be represented the BPSM Society in business and legal transactions. He shall receive on behalf of the BPSM Society and disburse all funds of the BPSM Society based on instructions from the Governing Council. The Mission Director through functional heads will handle necessary documents including bank cheques and other negotiable instruments on behalf of the BPSM Society, as authorized by the Chairman, Governing Council of the BPSM Society.
5   Mission Director shall appoint bankers of the BPSM Society. All funds of the BPSM Society shall be paid into the BPSM Society's account with the said bankers.
6   The Mission Director, as Member Secretary, shall, in consultation with the Chairman, convene the meetings of the General Body/Governing Council at stipulated intervals or otherwise and shall maintain all minutes, records and registers of the BPSM Society.
7   The Mission Director shall also perform such functions as may be delegated to him by the BPSM Society, Chairman and/or Governing Council from time to time.
8   The Mission Director shall ensure handling of all correspondence on behalf of the BPSM Society.
9   The Mission Director as the Member Secretary shall cause implementation of all the resolutions passed in the General Body/Governing Council of the BPSM Society.
10   The Mission Director shall also perform such functions as may be delegated to him/her by the BPSM Society, Chairman and or Governing Council from time to time, and -
  1. shall cause to prepare for the BPSM Society the Annual Reports and Financial Statements etc. with due audit.
  2. shall cause to maintain the accounts, cause due verification of the monthly transactions and the monthly receipt and expenditure statement, which shall be put up to Governing Council as required.
  3. shall cause the physical and financial usage of the funds disbursed by the BPSM Society to the various participating organization and submit a quarterly report to the Governing Council and GoB.
11   The Mission Director will liaison with the State Government, the Government of India, Department for International Development, Government of United Kingdom (DFID) and other agencies for any matter pertaining to the operations of the BPSM Society.
12   The Mission Director shall appoint staff for the Society and for the programmes implemented by the BPSM Society.
13   The Mission Director shall have powers to take disciplinary action over any staff of the BPSM Society as per the deputation rules/contract rules.
14   The Mission Director shall sanction and incur expenditure as decided by the governing body for day-to-day activities, or as delegated by the Governing Council. He will sanction study tours of Society members/officers and officers of partnering departments to other states.
15   The Mission Director shall tender and award contracts and incur expenditure up to a ceiling as may be decided by GoB, for civil works and consultancies, in line with the objectives of the BPSM Society.
16   The Mission Director shall perform any of the functions of the Governing Council with the approval of the Chairman during the interval between meetings of the Governing Council whenever it is urgent to do so and place a report in respect thereof, before the Governing Council for its consideration/ratification.
17   The Mission Director may delegate any of his powers to the Additional-Mission Director, functional heads and staff of Society for efficient functioning of the BPSM Society.
18   Authorize investment of the funds of the BPSM Society in such securities and/or to sell or transfer such investments in such a manner as the Governing Council may consider necessary, for the safety and benefit of the BPSM Society and to convert or change such investments, as required by the Governing Council, subject to the laws applicable.
19   Sanction and incur expenditure per instance as may be fixed by the general body for achieving the objective of the BPSM Society.
20   Tender and award contracts and incur expenditure on civil works and consultancy to achieve the objectives of the BPSM Society up to the limit as may be fixed by the Governing Council. He may also delegate all or part of his powers in this respect to members/officers of the BPSM society as deemed fit by him by specific order.
